Upon signing this Agreement, we will register your name with the
Sellers' representative of this property or business. We will make
available to you, certain information which describes the
aforementioned properties or businesses hereinafter referred to
as "The Offering".
A)" The Offering" contains information which is deemed strictly
confidential in nature. You agree to keep these materials
confidential and agree that the information contained in "The
Offering" will not be used by you in anyway deemed detrimental
to the Sellers or Sellers Agents, You agree not to copy or transmit
"The Offering" to any party without written permission.
B) You agree to direct all inquiries, property or business inspections,
written and oral communications, purchase offers and all
negotiations, in connection with "The Offering", through Timeless
Realty Corp. You agree not to deal in direct manner with the
Sellers nor any of its agents, employees, or representatives. You
understand that we may be negotiating with other prospective
Purchasers. In the event if you the Purchaser or your agents,
employees and/or representatives, does circumvent or attempt
to circumvent us, by dealing directly or indirectly with the Sellers,
then you will be held liable for full payment of the sales commission,
interest and legal expenses.
C) The Offering materials shall not be furnished to Purchaser in
absence of this Agreement.
D) You agree that it is acting in the capacity of Principal in this
transaction, you are not entitled to receive any portion of the Agent's
brokerage commission and forfeit the right to make any claim for a
commission.
E) This Agreement shall be governed by and construed in accordance
with laws of NY State
F) You acknowledge that this agreement shall be considered a written
request for the materials and possible inspection of this property or
business.
